1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and CasaNova ("Company," "we," "us," or "our") concerning your access to and use of the CasaNova virtual staging platform and services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

CasaNova is operated from Berlin, Germany, and is subject to German and European Union law.

To use our Service, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Service under applicable law
• Provide accurate and complete registration information
• Maintain the security and confidentiality of your account credentials

4. Account Registration

When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or contain false information.

5. Service Description

CasaNova provides AI-powered virtual staging services for real estate properties. Our Service includes:

• Upload and processing of property images
• AI-generated furniture and decor placement
• Multiple style templates and customization options
• High-resolution image downloads
• Cloud storage for processed images

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

6. Credits and Pricing

6.1 Credit System

Our Service operates on a credit-based system. Each image processing consumes one (1) credit. Credits are purchased through subscription plans or one-time packages.

6.2 Pricing

Current pricing is displayed on our website. We reserve the right to modify pricing with 30 days' notice to existing customers. Price changes do not affect credits already purchased.

6.3 Payments

All payments are processed securely through Stripe. You agree to:

• Provide valid payment information
• Authorize us to charge your payment method
• Pay all fees and applicable taxes
• Update payment information to avoid service interruption

6.4 Subscriptions

Subscription plans renew automatically unless cancelled. You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period.

6.5 Refunds

Refunds are provided in accordance with EU consumer protection laws. You have the right to cancel within 14 days of purchase for a full refund, provided you have not used the Service. After this period, refunds are granted at our discretion for technical issues or service failures.

7. Acceptable Use Policy

You agree NOT to:

• Upload illegal, offensive, or infringing content
• Use the Service for any unlawful purpose
• Violate any intellectual property rights
• Upload images containing personal data of third parties without consent
• Attempt to reverse engineer or access our AI models
• Use automated systems to access the Service without authorization
• Resell or redistribute our Service without written permission
• Upload malicious code or attempt to compromise system security
• Impersonate others or provide false information
• Interfere with other users' access to the Service

Violation of this policy may result in immediate account termination and legal action.

8. User Content and Licenses

8.1 Your Content

You retain all ownership rights to images you upload ("User Content"). By uploading User Content, you represent and warrant that:

• You own or have the necessary rights to upload and use the content
• The content does not violate any third-party rights
• The content complies with applicable laws and regulations

8.2 License to CasaNova

By uploading User Content, you grant us a limited, non-exclusive, worldwide license to:

• Process and store your images to provide the Service
• Generate AI-enhanced versions of your images
• Use aggregated, anonymized data to improve our AI models

This license terminates when you delete your content or close your account.

8.3 Generated Images

You own the AI-generated staged images created from your User Content. You may use these images for any lawful purpose, including commercial real estate listings.

9. Intellectual Property

The Service, including its software, design, features, and branding, is owned by CasaNova and protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or create derivative works of our Service
• Use our trademarks or branding without written permission
• Remove or alter any proprietary notices
• Access or use our AI models outside the Service

10. Virtual Staging Disclaimers

You acknowledge and agree that:

• AI-generated images are digital representations and do not depict physical staging
• You are responsible for disclosing that images are virtually staged in real estate listings
• Compliance with MLS rules, real estate regulations, and advertising laws is your responsibility
• We do not guarantee specific results or that AI-generated images will meet your expectations
• Image quality depends on the quality of uploaded source images

11. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind
• We do not warrant uninterrupted, error-free, or secure operation
• We are not liable for indirect, incidental, consequential, or punitive damages
• Our total liability is limited to the amount you paid in the past 12 months
• We are not responsible for third-party services or content

Some jurisdictions do not allow limitations on implied warranties or liability for incidental damages. In such cases, our liability is limited to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify and hold harmless CasaNova, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights
• Your failure to comply with applicable laws

13. Termination

13.1 By You

You may close your account at any time through your account settings. Upon termination, you will lose access to your account and stored images.

13.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Fail to pay fees when due
• Pose a security risk to our Service or other users

13.3 Effect of Termination

Upon termination, all licenses and rights granted to you cease immediately. Sections of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, and limitation of liability.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the Federal Republic of Germany, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

14.2 Jurisdiction

For consumers within the EU, mandatory consumer protection laws of your country of residence may apply. Any disputes shall be subject to the exclusive jurisdiction of the courts of Berlin, Germany, except where prohibited by mandatory consumer protection laws.

14.3 EU Consumers

If you are an EU consumer, you have the right to use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Email to your registered address
• Prominent notice on our website
• In-app notification

Continued use of the Service after changes become effective constitutes acceptance of the new Terms. If you do not agree to the changes, you must stop using the Service and may close your account.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CasaNova regarding the Service.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

16.5 Language

These Terms are provided in English. In case of any discrepancy between translated versions, the English version shall prevail.
